- Where we are unsure, consult our Club Members
- We personally will invest in every deal
- Make clear the 5 potential downsides of Vanneck EIS:
- The investments are high-risk and members could lose their capital and be reliant on tax breaks to make any return
- The investments are extremely illiquid.
- As Vanneck EIS is open-ended, newer investors will likely participate in follow-on rounds in companies that longer-standing investors have already backed.
- We do not commit to deploy capital within a specific period
- A company might lose or not get its EIS qualification even after advanced assurance stage as HMRC might change its mind or the company might invalidate it
Conflicts of Interest
- Any EIS or SEIS investments that we make independently (e.g if too small for Vanneck EIS) will be declared
- Where a deal is big enough for Vanneck EIS, we will not invest individually (i.e. without Vanneck EIS) unless there are exceptional circumstances which are disclosed
- A deal will generally be deemed too small for Vanneck EIS where it falls below 15% of total outstanding commitments.
- Investors do not have discretion into which Vanneck EIS investments they participate.
- Any monitoring or director fees paid to Vanneck Ltd by an investee company will be disclosed
